Von Roll Holding AG: 200th Annual General Meeting held — all proposals of the Board of Directors approved

As planned, the 200th ordinary General Meeting of Von Roll Holding AG took place on April 19, 2023 at 10.30 a.m. at the SIX ConventionPoint in Zurich (Switzerland). All proposals presented by the Board of Directors were approved by a large majority of the shareholders.

The articles of incorporation, annual report, financial statements and consolidated statements as well as the actions of the Board of Directors and Group Management were approved for the financial year 2022.

Dr. Peter Kalantzis, Gerhard Bruckmeier, August François von Finck and Dr. Christian Hennerkes were elected to another statutory one-year term as Members of the Board of Directors. August François von Finck was reelected for a one-year term as Member of the Remuneration Committee . Dr. Peter Kalantzis was newly elected to the Remuneration Committee for a one-year term. Gerd Amtstätter and Guido Egli did not stand for re-election and stepped down from the Board of Directors and the Remuneration Committee. Dr. Peter Kalantzis was confirmed as Chairman of the Board of Directors for a one-year term.

The proposal put forward by the Board of Directors to reelect Deloitte AG as statutory auditors for the fiscal year 2023 and Dr. Walter M. Müller as independent proxy was confirmed.

Both the total amount of compensation for the Board of Directors until the ordinary General Meeting 2024 and the total amount of compensation for the Executive Board for fiscal year 2024 were approved.
